Yes, the box is marked upgrade only. That's because I've used Cubase since 1997 and never needed to buy a new license. The license and dongle included was bought so that I could run Cubase SX3 on a separate computer to convert all my old Cubase VST .all and .arr projects to the current .cpr format and is now surplus to requirements.
There is no difference between the upgrade install disks and the full install disks. They're the same disks and you can always download the ISO images from the Steinberg website if you prefer. You can find them in the unsupported software of the downloads section of their support page.
Will be deregistered from my Steinberg account upon purchase and ready to transfer to your account.
